1. AGREEMENT TO TERMS
These Terms and Conditions ("Terms") constitute a legally binding agreement between you and PropLync Limited, a company incorporated under the laws of the Republic of Cyprus ("PropLync", "we", "us"). These Terms govern your access to and use of the PropLync platform, website, and related services (the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms.
2. PLATFORM ROLE (MARKETPLACE OS)
PropLync provides a technology-based marketplace operating system for real estate discovery, visibility, and professional visibility, representation, and measurement tools. PropLync is not a real estate broker, agent, developer, escrow service, fiduciary, or financial institution. PropLync does not participate in negotiations, legal due diligence, valuation, or execution of property transactions.
3. USER CATEGORIES
(a) Seekers (Consumers): Individuals browsing listings, evaluating professional profiles, or submitting inquiries that result in off-platform communication. Seeker access is provided free of charge and on an "as-is" basis.
(b) Professionals (Business Users): Licensed real estate agents, agencies, and developers who subscribe to paid tiers of the Platform for professional visibility and tools.
4. PROFESSIONAL SUBSCRIPTIONS & BILLING
Access to Professional features requires an active paid subscription. Subscription fees are billed in advance through third-party payment service providers. Subscriptions renew automatically at the end of each billing cycle unless cancelled through the account dashboard prior to renewal. Fees are non-refundable except where mandatory law applies. By subscribing, Professionals authorize PropLync to charge the applicable fees to the selected payment method.
5. SEEKER ACCESS & CONSUMER RIGHTS
Nothing in these Terms limits or excludes mandatory consumer rights under applicable law. Seekers retain all rights afforded to them under consumer protection regulations in their jurisdiction.
6. LISTINGS & CONTENT RESPONSIBILITY
Professionals are solely responsible for the accuracy, legality, and compliance of all listings, profiles, and content they submit. PropLync does not verify ownership, title deeds, permits, or property conditions. By submitting content, users grant PropLync a non-exclusive, worldwide, royalty-free license to host, display, and distribute such content solely for operating the Platform, including technical modifications necessary for formatting, accessibility, indexing, and platform presentation.
7. PROHIBITED ACTIVITIES
Users may not post fraudulent, misleading, or unauthorized listings; misuse platform data; circumvent security or billing systems; or engage in activities that violate applicable laws or third-party rights.
8. LIMITATION OF LIABILITY
To the maximum extent permitted by law, PropLync shall not be liable for indirect, incidental, or consequential damages, including loss of profits or data, arising from platform use, third-party content, or user disputes. For Professionals, PropLync's total liability for any claim shall not exceed the subscription fees paid in the twelve (12) months preceding the claim.
9. INDEMNIFICATION
Professionals agree to indemnify and hold harmless PropLync from any claims, damages, losses, or expenses arising from their listings, conduct, regulatory breaches, or violation of these Terms.
10. TERMINATION
PropLync may suspend or terminate access to the Platform if these Terms are breached, subscriptions lapse, or where required by law. Professionals remain responsible for outstanding fees incurred prior to termination. Termination does not affect accrued payment obligations or rights that by their nature survive termination.
11. GOVERNING LAW & JURISDICTION
These Terms are governed by the laws of the Republic of Cyprus. For Professionals, any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the Courts of Cyprus. For Seekers, mandatory consumer jurisdiction rights remain unaffected.
12. CHANGES TO TERMS
PropLync may update these Terms from time to time. Continued use of the Platform after publication of updated Terms constitutes acceptance.
